1. Services Provided
Prism ("the Service") provides a specialized artificial intelligence engine designed to parse, analyze, and structure unstructured consumer feedback (e.g., reviews, support tickets, survey responses) into formatted intelligence reports.
2. Intellectual Property Rights
- Client Data: You retain all rights, title, and interest in and to all data you upload to the Service ("Client Data"). Prism claims no ownership over your proprietary customer information.
- Prism Engine: We retain all rights, title, and interest in the Prism platform, its proprietary LLM orchestration pipelines, heuristic algorithms, and UI components.
- Generated Insights: The specific, structured reports and insights generated by Prism from your Client Data are fully owned by you, the Client, upon payment of applicable fees.
3. Acceptable Use Policy (AUP)
By utilizing Prism, you warrant that you will not upload:
- Unencrypted High-Risk PCI/PHI data without prior Enterprise Agreement execution.
- Data acquired unlawfully or in violation of the Digital Personal Data Protection Act, 2023.
- Files containing malicious code, malware, or payloads designed to test the limits of our ingestion endpoints.
Prism reserves the right to immediately suspend Service access if a violation of this AUP threatens the stability or security of our infrastructure.
4. Service Level Agreement (SLA) & Uptime
For Enterprise tier customers, Prism commits to a 99.9% monthly uptime SLA. If we fall below this threshold, you will be eligible for service credits proportional to the downtime. This SLA does not apply to scheduled maintenance, which will be communicated at least 48 hours in advance.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, PRISM INTELLIGENCE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
6. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000 and the Indian Contract Act, 1872. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.
